Jeff C. Dodd
Dodd, a partner at the law firm of Andrews Kurth, LLP in the area of corporate, securities, and corporate finance, is experienced in diverse domestic and international corporate transactions. He represents issuers and underwriters in connection with public and private securities offerings, venture capital and other investment groups or funds, as well as portfolio companies, in private debt and equity financing transactions.

Mr. Dodd counsels various participants (buyers, sellers, financing sources) in public and private merger and acquisition and change of control transactions. He also prepares and reviews filings under the Securities Exchange Act of 1934, and advises regulated companies (including broker/dealers and investment advisers) as to regulatory and compliance matters.

In addition, Mr. Dodd’s practice focuses on other transactional work, including structuring financing arrangements and vehicles, representing borrowers and lenders in lending transactions, and structuring and documenting joint venture, corporate partnering, and similar arrangements. He also has a substantial practice involving intellectual property, technology, electronic commerce, and communications. Dodd has extensive licensing experience in a variety of domestic and international transactions. He provides general representation of various parties in registering, enforcing, and licensing intellectual property rights with respect to diverse technologies, as well as handling infringement and similar analysis as to copyright and trademark matters.

Mr. Dodd represents various parties in the planning, design, and implementation of domestic and international electronic commerce strategies and arrangements (including those relating to business-to-business exchanges, co-branding, hosting, development, and other similar activities), electronic data interchange arrangements, and electronic trading transactions and activities. In addition, he advises domestic and international clients on data protection and privacy laws and devising compliance strategies.

On the transactional side, Mr. Dodd represents software developers, as well as distributors and users, in structuring, negotiating, and documenting computer hardware and software ownership, acquisition, and distribution agreements, and works with companies acquiring software and other technology companies. He also counsels various communications companies and service providers.

Mr. Dodd is a member of the Houston Bar Association, the State Bar of Texas and the American Bar Association, and is active in a variety of section associations. He graduated summa cum laude from the University of Houston Law Center in 1979 and received his B.A. in 1976 graduating magna cum laude. He has written many articles and publications in covering licensing law, e-commerce, and contract law related to information contracts and contracting in cyberspace. Mr. Dodd has also spoken at numerous Intellectual Property and Information Law seminars.
