Julie Steamer is a partner in the New York office of King & Spalding and a member of the Corporate Practice Group. Ms. Steamer represents private equity, venture capital, and hedge fund sponsors in the structuring and formation of investment funds, and such sponsors and public and private companies in domestic and cross-border buyouts, mergers, acquisitions, dispositions, joint ventures and other strategic combinations, private placements, and other financing transactions, and recapitalization and other types of restructuring transactions. She also advises fund investors in reviewing and negotiating the terms of their investments. In addition, Ms. Steamer counsels clients on monitoring and managing portfolio company performance and in connection with corporate governance and general corporate matters.
Ms. Steamer has represented clients in an array of industries, and has acquired significant experience in the real estate, technology, retail, financial services, and energy sectors. She also has extensive experience advising leveraged buyout, private equity and venture capital funds on structuring and effecting investments, domestically and in Europe, Latin America, and the Middle East. In addition, Ms. Steamer has represented both publicly traded and privately held clients in connection with management and investor rights agreements, employment agreements, non-competition agreements, licensing transactions and other intellectual property matters, and other corporate, securities law, and contract matters.
Ms. Steamer is a member of the American Bar Association, the New York State Bar Association and the Association of the Bar of the City of New York. While attending law school, Ms. Steamer was a member of the SMU Law Review.
Previously, Ms. Steamer served as the deputy general counsel of Verint Systems Inc. She also practiced as corporate associate with two internationally recognized law firms.
